1. DEFINITIONS AND INTERPRETATION
1.1 In these Terms, unless the context otherwise requires:
• “Candidate” means any individual who registers on or uses the Platform to create a profile and seek career opportunities.
• “Company” means Talent 2U Direct Ltd, a company incorporated in England and Wales under company number 17256191.
• “Employer” means any individual or entity accessing the Talent 2U Direct platform for the purpose of identifying or engaging Candidates.
• “Engagement” means any employment, contract, consultancy, interim, freelance, or other commercial relationship entered into between a Candidate and an Employer.
• “Invitation” means a job opportunity or expression of interest sent by an Employer to a Candidate via the Platform.
• “Platform” means the Jobs 2U Direct website (www.jobs2udirect.com), systems, and associated services operated by the Company.
• “Profile” means the professional profile created and maintained by a Candidate on the Platform.
1.2 References to “including” shall be construed without limitation. Clause headings are for convenience only and shall not affect interpretation.
2. ACCEPTANCE OF TERMS
2.1 By accessing or using the Platform, the Candidate agrees to be legally bound by these Terms.
2.2 If the Candidate does not agree with these Terms, they must immediately cease use of the Platform.
3. NATURE OF THE PLATFORM
3.1 The Platform enables Candidates to create a professional Profile and register their interest in career opportunities.
3.2 The Company is not an employment agency and does not act as agent for any Candidate or Employer. The Company does not guarantee any Engagement, interview, or job offer arising from use of the Platform.
3.3 Candidate Profiles may be made available to Employers via the Talent 2U Direct platform in anonymised format, in accordance with clause 4 below and the Company’s Privacy Policy.
4. CANDIDATE PROFILE AND DATA USE
4.1 By creating a Profile, the Candidate acknowledges and agrees that their Profile may be displayed to registered Employers through the Talent 2U Direct platform in anonymised format, excluding identifying information such as name, contact details, or current employer.
4.2 Where an Employer wishes to engage with a Candidate Profile, they may send an Invitation via the Platform. The Candidate may accept or decline any such Invitation at their sole discretion.
4.3 Where the Candidate accepts an Invitation, identifying details may be shared with the relevant Employer to enable further communication and potential Engagement.
4.4 The Candidate consents to their Profile data being processed and used in accordance with the Company’s Privacy Policy.
5. CANDIDATE OBLIGATIONS

6. INTELLECTUAL PROPERTY
6.1 All intellectual property rights in the Platform and its content are owned by or licensed to the Company. No rights are granted to the Candidate except as expressly set out in these Terms.
6.2 The Candidate must not copy, distribute, reproduce, or exploit any part of the Platform for commercial purposes without prior written permission from the Company.
7. PLATFORM AVAILABILITY
7.1 The Company does not guarantee uninterrupted access, error-free operation, or continuous availability of the Platform.
8. WARRANTIES AND DISCLAIMERS
8.1 To the fullest extent permitted by law, all warranties are excluded and the Platform is provided “as is” with no representation as to outcomes, suitability, or fitness for purpose.
8.2 Information provided on the Platform is for general recruitment purposes only and should not be relied upon as professional or legal advice.
9. LIMITATION OF LIABILITY
9.1 The Company shall not be liable for any loss of opportunity, indirect, or consequential loss arising from use of the Platform.
9.2 Nothing in these Terms limits or excludes any liability that cannot lawfully be excluded under English law, including liability for fraud or personal injury caused by negligence.
10. SUSPENSION AND TERMINATION
10.1 The Company may suspend or terminate a Candidate’s account without notice where the Candidate breaches these Terms or where the Company reasonably suspects misuse of the Platform.
10.2 Clauses relating to liability and data protection survive termination of these Terms.
11. DATA PROTECTION
11.1 Personal data is processed in accordance with the Company’s Privacy Policy, which forms part of these Terms and is available on the Platform.
11.2 The Company may share personal data with Talent 2U Direct LLC, an affiliated company incorporated in the State of Florida, USA, for the purpose of supporting the delivery and operation of the Platform and recruitment services. Any such transfer of personal data outside the United Kingdom is made in accordance with UK GDPR and subject to a UK International Data Transfer Agreement (IDTA) between the Company and Talent 2U Direct LLC. Further details are set out in the Privacy Policy.
12. VARIATION
12.1 The Company may update these Terms at any time. Continued use of the Platform following any update constitutes acceptance of the revised Terms.
13. GOVERNING LAW AND JURISDICTION
13.1 These Terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms.
